UpWare Sp z o.o. and NeoGage Sp. z o.o. merger

Dear All,

We would like to inform you that on May 13, 2020, the District Court for the capital city of Warsaw in Warsaw entered the merger of UpWare Sp. z o.o. with its seat in Warsaw (hereinafter UpWare) and NeoGage Sp. z o.o. with headquarters in Rzeszów (hereinafter NeoGage).

The merger of the companies was performed pursuant to Art. 492 § 1 point 1 of the Act of September 15, 2000, Code of Commercial Companies (i.e. Journal of Laws of 2019, item 505), i.e. by transferring all assets of NeoGage, as the acquired company, to UpWare, as the acquiring company. As a result of the merger, one entity was created – UpWare Sp. z o.o. The merger of the companies was made by universal succession, through the acquisition of a subsidiary by the parent company, which pursuant to 494 § 1 of the Commercial Companies Code. This means, among other things, that UpWare took over all NeoGage receivables and liabilities on May 13, 2020. For our contractors, this means that full organizational and legal continuity has been maintained, including full security of all NeoGage liabilities.

At the same time, we would like to inform you that on the date of entry of the merger of companies in the register of entrepreneurs, ie on May 13, 2020, UpWare became a party to all agreements concluded by NeoGage before the merger, provided that they are still in force. UpWare, as the acquiring company, entered into all rights and obligations of NeoGage as the acquired company. This was done by operation of law as a result of entering the merger of companies in the register of entrepreneurs. We would also like to point out that all the people who have participated in the development of the NEOGAGE application so far and people from the sales department are at your disposal. Additionally, NeoGage’s contact details, including telephone numbers and e-mail addresses, remain valid and are available channels of communication with UpWare.
