The merger of UpWare Sp. z o.o. and NeoGage Sp. z o.o.

Dear Sir or Madam, We wish to inform you that on 13 May 2020, the District Court for the Capital City of Warsaw in Warsaw entered in the Register of Entrepreneurs of the National Court Register the merger of UpWare Sp. z o.o. with its registered office in Warsaw (hereinafter UpWare) and NeoGage Sp. z o.o. with its registered office in  Rzeszów (hereinafter NeoGage). The merger of the companies was carried out pursuant to Article 492 § 1(1) of the Act of 15 September 2000 – Commercial Companies Code (i.e. Journal of Laws of 2019, item 505), i.e. by transferring all the assets of NeoGage, as the acquired company, to UpWare, as the acquiring company. As a result of the merger, a single entity was formed – UpWare Sp. z o.o. The merger of the companies was carried out by way of universal succession, through the acquisition of a subsidiary by a parent company, which, in accordance with Section 494(1) of the Commercial Companies Code, means, amongst other things, that UpWare assumed, as of 13 May 2020. For our business partners, this means that full organisational and legal continuity has been maintained, including full security for all of NeoGage’s liabilities.

We would also like to inform you that, as of the date of entry of the merger into the Register of Companies, i.e. 13 May 2020, UpWare has become a party to all contracts entered into by NeoGage prior to the merger, insofar as they remain in force. As the acquiring company, UpWare has, as of all the rights and obligations of NeoGage, as the acquired company. This took place by operation of law as a result of the entry of the merger in the Register of Companies.

We would also like to point out that all persons who have been involved in the development of the NEOGAGE application to date, as well as members of sales department remain at your disposal. Furthermore, NeoGage’s contact details, including telephone numbers and email addresses, remain valid and constitute the channels of communication with UpWare. NeoGage’s existing bank account numbers also remain valid.
